These Terms of Use (“Terms”) govern your access to and use of the Retention Audit tool provided by OrangeFox Pte Ltd (“OrangeFox”, “we”, “us”, or “our”). By connecting your Shopify store or using any part of our service, you agree to be bound by these Terms. If you do not agree, please do not use the service.

Retention Audit is an analytics tool that connects to your Shopify store via OAuth, processes your order history, and generates a retention health report showing metrics including repurchase rate, buyer segments, purchase gaps, channel attribution, and an estimated revenue leak figure. The service is available in a Free tier and a paid Advanced tier ($149 one-time payment). A Pro subscription tier is under development and not yet available for purchase.

You must be at least 18 years of age and have the legal authority to connect the Shopify store on whose behalf you are using the service. By using the service, you represent and warrant that you meet these requirements.

To generate your audit report, you will be asked to authorise Retention Audit to access your Shopify store using the following OAuth scopes: read_orders, read_customers, and read_all_orders. This access is read-only — we will never create, modify, or delete any data in your Shopify store.

By authorising access, you grant OrangeFox permission to fetch and process your store’s order history for the purpose of generating your retention report. Your access token is encrypted and stored securely. You may revoke access at any time from your Shopify admin under Settings > Apps and sales channels.

You are responsible for ensuring you have the right to grant OrangeFox access to the Shopify store and its data, including any data relating to your customers.

Retention Audit generates estimates and metric calculations based on your order history. These figures are provided for informational purposes only. While we take care to use accurate calculation methodologies and category-informed benchmarks, the results are estimates and should not be treated as guaranteed outcomes or financial advice. Revenue leak figures, repurchase rate benchmarks, and channel attribution are approximations based on available data and industry references.

The Advanced plan is a one-time payment at the fee published on our pricing page at the time of purchase. Payment is processed securely by Stripe, Inc. Upon successful payment, your audit report will be permanently upgraded to display all Advanced metrics.

An invoice will be sent to your email address upon successful payment. If you require a company invoice, you may provide your company name, VAT/Tax ID, and invoice email address during checkout. This information will be included on the invoice issued by OrangeFox Pte Ltd.

All payments are final and non-refundable. Refund requests may be submitted to hello@orangefox.io and will be reviewed at OrangeFox’s sole discretion on a case-by-case basis. Submission of a refund request does not guarantee a refund will be granted.

A Pro subscription plan is planned at the fees to be published on our pricing page at launch. When launched, subscription terms including billing cycles, cancellation, and renewal will be published as an addendum to these Terms. By joining the Pro waitlist, you are not entering into a binding purchase agreement.

You agree not to:

• Use the service to access Shopify stores you do not own or are not authorised to represent
• Attempt to reverse-engineer, scrape, or extract the underlying calculation logic or proprietary benchmark data
• Use automated scripts or bots to connect multiple stores in bulk without prior written permission from OrangeFox
• Misrepresent audit results to third parties as certified financial analysis or accounting data
• Circumvent any access controls, payment gates, or tier restrictions in the service

The Retention Audit service, including its design, calculation methodology, benchmark data, software, and brand assets, is the intellectual property of OrangeFox Pte Ltd. Your audit report is generated for your personal or business use. You may share it internally or with advisors, but may not resell, republish, or redistribute it commercially without our written consent.

The service is provided “as is” and “as available” without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. OrangeFox does not warrant that the service will be uninterrupted, error-free, or that results will be accurate or complete. Use of the service and reliance on audit results is at your own risk.

To the maximum extent permitted by applicable law, OrangeFox Pte Ltd and its directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the service, including but not limited to loss of revenue, loss of data, or loss of business opportunity, even if OrangeFox has been advised of the possibility of such damages.

OrangeFox’s total aggregate liability to you for any claims arising from or related to the service shall not exceed the cost of a single audit fee as published on our pricing page at the time of the claim, regardless of the number of payments made, subscription status, or subscription duration.

You agree to indemnify and hold harmless OrangeFox Pte Ltd and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from: (a) your use of the service in violation of these Terms; (b) your violation of any third-party rights, including Shopify’s platform terms; or (c) any false representations you make in connection with the service.

The service integrates with third-party platforms including Shopify (for data access) and Stripe (for payments). Your use of these platforms is governed by their respective terms of service and privacy policies. OrangeFox is not responsible for the availability, accuracy, or conduct of any third-party service.

OrangeFox reserves the right to modify, suspend, or discontinue the service or any part of it at any time, with or without notice. We may update these Terms from time to time. When we do, we will update the “Last updated” date at the top. Continued use of the service after changes are posted constitutes acceptance of the updated Terms.

These Terms are governed by the laws of the Republic of Singapore. Any dispute arising from or relating to these Terms or the service shall first be attempted to be resolved through good-faith negotiation between the parties. If unresolved within 30 days, disputes shall be submitted to the exclusive jurisdiction of the courts of Singapore.

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.
